Acceptance of These Terms

These Terms of Use and Services govern your access to and use of Actly’s website, platform, applications, dashboards, AI agents, integrations, and services (collectively, the Platform or Services).

By accessing or using any part of the Actly Platform, you agree to be legally bound by these Terms and enter into a contractual relationship with Actly do not agree to these Terms, you must not access or use the Platform.

These Terms apply to all users, including businesses, organizations, administrators, employees, contractors, and any authorized end users.

Platform Description

Actly is an AI customer assistance platform that provides intelligent AI agents acting as digital employees for businesses. Actly enables companies to:

  • Automate customer interactions via chat, voice, WhatsApp, websites, and applications

  • Provide instant responses, bookings, actions, and workflows

  • Access dashboards, analytics, insights, and performance tracking

  • Integrate AI agents with business systems and tools

  • Customize AI behavior, logic, and tools based on business needs

Actly does not replace professional judgment or human decision-making and does not guarantee specific business outcomes.

Account Registration & Security

To access certain features, you may be required to create an account. You agree that:

  • All information you provide is accurate, current, and complete
    You are responsible for maintaining the confidentiality of your login credentials

  • You will not share, sell, or transfer account access without written authorization

  • You are fully responsible for all activities conducted through your account

You must notify Actly immediately of any unauthorized access or security breach.

Actly reserves the right to suspend or terminate accounts at its sole discretion, including for violations of these Terms or suspected misuse of the Platform.

Access Availability

Actly strives to maintain platform availability but does not guarantee uninterrupted access. We may:

  • Temporarily suspend access for maintenance, updates, or security reasons

  • Modify or discontinue features without prior notice

  • Restrict access to certain Services based on plan, usage limits, or compliance

Actly is not liable for downtime, service interruptions, or data delays beyond reasonable control.

Communications

By using the Platform, you consent to receive:

  • Service-related emails and notifications

  • Account, billing, security, and operational communications

  • Product updates and feature announcements

    You may opt out of marketing communications, but essential service communications cannot be disabled.

Subscriptions, Payments & Billing

Actly Services are offered on a subscription basis, unless otherwise agreed in writing.

  • Fees must be paid in advance according to your selected plan

  • Subscription pricing, usage limits, and features are defined in your agreement or plan page

  • Failure to pay may result in suspension or termination of Services

Refunds

Unless explicitly stated in a signed agreement:

  • All payments are non-refundable

  • No refunds for unused time, feature changes, or dissatisfaction

  • Actly may offer credits at its sole discretion

Data, AI Outputs & Responsibility

You acknowledge and agree that:

  • AI outputs are generated based on probabilistic models

  • Responses may contain inaccuracies, delays, or limitations

  • You are responsible for reviewing, validating, and approving AI outputs before use

  • Actly is not responsible for business decisions made based on AI responses

You retain ownership of your data. Actly processes data strictly in accordance with its Privacy Policy and applicable laws.

Intellectual Property Rights

All intellectual property related to the Platform, including software, AI models, designs, interfaces, branding, content, and documentation, is owned by Actly or its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform solely for internal business purposes.

You may not:

  • Copy, modify, reverse engineer, or resell the Platform

  • Use Actly’s technology to build competing products

  • Extract models, prompts, logic, or proprietary workflows

All rights not expressly granted are reserved by Actly.

Trademarks

“Actly,” its logo, product names, and all related branding are trademarks of Actly. Unauthorized use is strictly prohibited.

Prohibited Uses

You agree not to use the Platform to:

  • Violate any applicable law or regulation

  • Transmit harmful, misleading, unlawful, or abusive content

  • Attempt to bypass security, usage limits, or safeguards

  • Scrape, overload, or attack the Platform

  • Use AI agents to impersonate individuals or entities unlawfully

  • Introduce malware or harmful code

Actly may suspend or terminate access for violations.

User Content & Contributions

Any data, prompts, files, or inputs you provide remain your responsibility. By submitting content, you grant Actly a license to process it solely for the purpose of providing the Services. Actly does not claim ownership over your business data.

Monitoring, Enforcement & Termination

Actly may:

  • Monitor usage for security, compliance, and performance

  • Remove content or suspend access at its discretion

  • Terminate accounts for violations or misuse

Actly cooperates with lawful requests from authorities where required

Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE FULLEST EXTENT PERMITTED BY LAW, ACTLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE
    ACCURACY OR RELIABILITY OF AI OUTPUTS

  • UNINTERRUPTED OR ERROR-FREE SERVICE

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACTLY SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES

  • LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS OPPORTUNITIES

  • DECISIONS MADE BASED ON AI OUTPUTS

  • THIRD-PARTY INTEGRATIONS OR SERVICES

TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO ACTLY IN THE PRECEDING THREE (3) MONTHS.

Indemnification

You agree to indemnify and hold harmless Actly from any claims arising from:

  • Your misuse of the Platform

  • Your data, prompts, or AI outputs

  • Violation of these Terms or applicable laws

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Kuwait. Any disputes shall be resolved through negotiation, mediation, or arbitration, not local courts, unless otherwise required by law.

Severability & Waiver

If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce any right does not constitute a waiver.
